ERA VIP Membership Terms and Conditions

  1. Please read these terms and conditions of participation in the ERA VIP Membership Programme (the “Membership Terms and Conditions”) carefully. By signing up for the ERA VIP Membership Programme (the “Programme”) and accessing the ERA VIP Web, You unconditionally agree to be bound by the terms described herein and all terms incorporated by reference, as well as by any changes and amendments that ERA may make. The terms incorporated by reference include the Website Terms and Conditions as well as the Privacy Policy. If You do not agree to the Membership Terms and Conditions, the Website Terms and Conditions and/or the Privacy Policy (collectively the “Terms of Membership”), do not participate in the Programme.
  2. ERA reserves the right to change the Terms of Membership at any time it deems fit. Such changes to the Terms of Membership shall be effective upon the posting of an updated version of the relevant terms and conditions and/or policy on the Website. You agree that it is Your responsibility to review the Terms of Membership regularly. Your continued access to the ERA VIP Web after any such changes, whether or not reviewed by You, shall constitute Your consent and acceptance to such changes. If any modification is unacceptable to You, You shall cease accessing and using the ERA VIP Web and/or cease maintaining a ERA VIP Membership (the “Membership”) immediately.
  3. All defined terms in the Website Terms and Conditions, apply to these Membership Terms and Conditions unless specifically defined in these Membership Terms and Conditions.

Eligibility and Registration

  1. Membership is open to individuals aged twenty-one (21) and above and who agree to the Terms of Membership, which include (without limitation) consenting to ERA’s collection, use and disclosure of their personal data for the purpose of sending them marketing, advertising and promotional information. Membership will not be extended to corporations or other legal entities. Each eligible ERA VIP will only be entitled to one (1) ERA VIP Account (the “Account”).
  2. Notwithstanding the foregoing, ERA reserves the right to grant and/or refuse Membership at its sole and absolute discretion without having to provide any reason. ERA’s decision shall be final and conclusive.
  3. By registering for and maintaining a Membership and/or an Account:
    1. You represent and warrant that the personal data provided during registration is true, accurate, complete and current.
    2. You undertake to update and maintain Your personal data to ensure it remains true, accurate, complete and current;
    3. You agree to be responsible for maintaining the confidentiality of Your username and password.
    4. You agree to promptly notify ERA of any unauthorized use of Your Account or any other breach of security.
    5. You agree that ERA may collect, use and disclose Your personal data in accordance with the Terms of Membership; and
    6. You agree that You will be responsible for all transactions and activities through Your Account and will be solely liable for any actions taken through (or purportedly through) the Account. You will be held accountable for all access to or use of the Account and its associated services, and we will rely on any information, data, instructions or communications referable to Your login credentials, whether authorized by You or not.

  5. As a condition of entry into the ERA VIP Membership Programme, You hereby affirm and represent that You are above twenty-one (21) years of age and agree to be bound in all respects by these Membership Terms.

Data Sharing with ERA Trusted Adviser

  1. By registering for an Account, You agree that Your personal data and information may be shared with an ERA Trusted Adviser if it is indicated that You were referred by that ERA Trusted Adviser to the Programme. The information shared may include, but may not be limited to, Your name, contact number, email address, sign-up date, last log-in date, and online activities such as promotions claimed and lucky draws participated in. The data and information will be shared for the purpose of allowing the ERA Trusted Adviser to provide personalized advice, assistance and marketing to You.

Membership Benefits

  1. Membership is free of charge. You may register for the membership via the following link: https://vip.era.com.sg/register
  2. ERA VIPs may gain access to membership benefits. This may potentially include (without limitation) the delivery of consumer information, such as curated content and event updates; the opportunity to participate in exclusive events, such as webinars and seminars; the opportunity to participate in activities, such as lucky draws and the opportunity to receive promotions and discounts from a selection of vendors and merchants with whom ERA collaborates.
  3. Notwithstanding Clause 11, You agree that any and all membership benefits are subject to availability and may be modified, suspended, or discontinued at ERA's sole discretion at any time without prior notice. ERA does not guarantee that any ERA VIP will have access to all or any specific promotions or offers, as participation in any promotion, event, or activity may be contingent upon certain conditions or availability.

    In addition, ERA shall not be held liable for the unavailability, modification, or discontinuation of any promotions, offers, or activities, whether due to actions or decisions made by third-party vendors, merchants, or any other reasons. All such promotions and offers are subject to availability and may be withdrawn or altered without prior notice. ERA expressly disclaims any responsibility or liability for any changes, cancellations, or removal of such promotions, events, or benefits, and makes no representations or warranties regarding the continued availability or value of any such offers.

  4. While operating the Programme, we may organize Activities, such as events, campaigns, contests, competitions, awards, promotions and surveys. Please note that such Activities may be subject to additional terms and conditions, rules and/or privacy policies that are separate from those governing the Programme. By participating in or registering for any such Activities, You acknowledge and agree to comply with the applicable terms and conditions, rules and privacy policies of those Activities. You warrant that You shall review all relevant terms, conditions, rules and privacy policies associated with any Activities before engaging in or registering for them.

Personal Data and Privacy

  1. In addition to and without limiting the terms of our Privacy Policy and our Website Terms and Conditions, by providing the information requested for Your account, You hereby consent to ERA’s collection, use and disclosure of all such information relating to Your use of the ERA VIP Web or services for the following purposes:
    1. to administer the ERA VIP Web, the Account, the Programme and its associated features and services as well as to contact You for the administration of the Account and its services;
    2. to facilitate access to and provision of the ERA VIP Web, the Account, the Programme and its associated membership benefits and services (including disclosure to a third-party service provider) for this purpose;
    3. to send you marketing, advertising and promotional materials from ERA, its related companies, business partners and associates;
    4. to allow ERA Trusted Adviser(s) whom You have indicated as having referred You to the Programme and/or whom You have at any point indicated to ERA to be Your ERA Trusted Adviser(s) to provide personalized advice, assistance and marketing to You and to contact You;
    5. to facilitate any other operations and services provided by ERA and our business partners as well as our associates;
    6. for carrying out user research, including but not limited to surveys, interviews and user-tests as well as profiling and statistical analyses to improve the products and services that ERA and our business partners offer;
    7. for complying with the law and the requests of law enforcement and regulatory officials, or orders of court and to fulfil any of our obligations under the applicable laws and regulations;
    8. to enforce our legal rights and remedies, including but not limited to enforcing the Terms of Membership;
    9. to respond to Your queries and requests;
    10. to announce and/or publicise Your details should circumstances require for activities such as lucky draws, and to facilitate Your participation in the promotional and publicity activities as provided for under the applicable terms and conditions and/or rules and regulations;
    11. for any other purpose for which we have obtained Your consent; and
    12. for any other purpose reasonably related to the purposes listed above.
  1. The Programme offers membership benefits free of charge. However, individuals must consent to the collection, use and disclosure of their personal data by ERA, its related companies, business partners and associates to send marketing, advertising and promotional materials to them in order to become a member and enjoy the benefits. Those who do not wish to receive such communications from ERA, its related companies, business partners and/or associates should not sign up for the Programme.

Termination and Suspension of Membership

  1. You may terminate Your membership and/or delete Your account by submitting a written request to [email protected].
  2. ERA has the right to suspend (whether temporarily or permanently) or terminate Your Membership and/or Account, with or without notice, at its sole discretion, without having to assign any reason.

    Without prejudice to the generality of the above, ERA can suspend or terminate Your Account due to:

    • breaches or violations of these terms and conditions and the Website Terms and Conditions or any of its policies, rules and regulations, governing the use of the ERA VIP Account or the Website (which includes the ERA VIP Web);
    • request by law enforcement or other government agencies;
    • discontinuance or material modification to the ERA VIP Web and its services or part thereof;
    • unexpected technical or security issues or problems;
    • self-initiated account deletions;
    • infringement of intellectual property rights of others; or
    • extended period of inactivity.
  3. ERA shall not be liable to You for such suspension or termination. If Your Account is terminated or suspended for any reason whatsoever, You shall not be entitled to any compensation whatsoever. For the avoidance of doubt, the suspension or termination shall not prejudice Our rights against You for the breach of the Terms of Membership or other obligations accrued prior to such suspension or termination.
  4. Upon termination of Membership, You shall immediately lose access to all membership benefits, including but not limited to content, events, promotions and lucky draw opportunities.

Limitation of Liability

  1. To the fullest extent permissible by Singapore law, ERA shall not be liable to You for any loss or damage of any kind, whether in contract, tort (including negligence) or otherwise, arising out of or in connection with Your reliance upon the contents or services made available through the ERA VIP Web, the Programme and/or the Account as well as Your use or inability to use the ERA VIP Web, the Programme and/or Account, including the performing of any transaction or communication using the aforesaid features and services. Without limiting the generality of the foregoing, ERA shall not be liable for any loss or damage arising out of unauthorized access to or alterations to Your transmission of data; any loss or damage arising out of any disruption or non- availability of the ERA VIP Web, the Programme and/or the Account; loss of profits, sales, business or revenue; loss of business opportunity, goodwill or reputation; loss of use and/or costs of obtaining substitute goods or services; loss of anticipated savings; business interruption and any other intangible loss or damage. This remains the case even if we have been advised on the possibility of such loss or damage.

    For the avoidance of doubt, this clause shall not apply to any liability that cannot be excluded or limited by Singapore law (including liability for death or personal injury arising from ERA’s negligence).

Indemnity

  1. You agree to indemnity ERA and its directors, officers, employees, agents and/or representatives against any losses, claims, demands, liabilities, costs and expenses for personal injury or death, loss, damage to property, breach of obligations, warranty or representation, fines and penalties, which may be imposed on or which ERA may suffer or incur or which may be made, instituted or asserted against ERA arising out of or by reason of:
    1. Your use or misuse of the ERA VIP Web, the Programme and/or the Account;
    2. Your breach of any of the provisions of the Terms of Membership;
    3. Your infringement of any of our intellectual property rights, including the IP Content; or
    4. Any third-party claims against us arising from or in relation to the aforementioned events under (i), (ii), or (iii).

No Guarantees.

  1. ERA makes no representations, warranties or guarantees that the Programme, the Account and/or the ERA VIP Web will meet Your requirements, be of satisfactory quality, fit for a particular purpose, non-infringing on the rights of third parties, compatible with all software and hardware, or secure.

Precedence of Membership Terms and Conditions.

  1. In the event of any conflict between the terms of these Membership Terms and Conditions and the Website Terms and Conditions and/or the Privacy Policy, the terms of these Membership Terms and Conditions shall prevail.

Choice of Law/Disputes

  1. The Terms of Membership are governed by the laws of Singapore, without giving effect to its conflict of law provisions. You agree to submit to exclusive jurisdiction of the Singapore courts for any and all disputes, claims and actions arising from or in connection with the ERA VIP Web, the Programme, the Account and/or the Terms of Membership.
  2. ERA may assign to any party its rights and obligations under the Terms of Membership, in whole or in part, at any time with or without notice to You. You may not assign, transfer or sublicense Your rights or obligations, if any, arising hereunder in connection with the ERA VIP Web, the Programme and/or the Account.

Rights of Third Parties

  1. The Terms of Membership are not intended to confer any rights to any third party under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any provision of these Terms of Membership, and the operation of the said act is hereby excluded.

Definitions

  1. All defined terms in the Website Terms and Conditions, apply to these Membership Terms unless specifically defined in these Membership Terms.

Headers

  1. The headers appearing in these Membership Terms and Conditions are inserted only as a matter of convenience and in no way define, limit, construe or describe the scope or intent of the sections or clauses of the Membership Terms and Conditions nor in any way affect the Membership Terms and Conditions.

Severability

  1. If any provision of the Membership Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable.

No Waiver

  1. The failure of ERA to enforce any right or provision of the Terms of Membership shall not constitute a waiver of such right or provision. Any waiver of any provision of the Terms of Membership will be effective only if in writing and signed by an authorized representative of the ERA.

Survival

  1. Any provisions of the Terms of Membership that by their nature extend beyond the termination or expiration the Terms of Membership shall survive and remain in effect, including but not limited to provisions regarding no warranty, intellectual property rights, indemnification, limitations of liability, and any obligations necessary for the interpretation or enforcement of the Terms of Membership.
